Institutional governance for LPs: what it means in practice
What institutional governance means in practice: traceability, investment committee and continuous reporting for LPs.
"Institutional governance" has become a marketing label. For an LP deciding where to commit capital, the practical question is a different one: what changes in my experience as an investor? Below we set out what we mean by governance and how it translates into the day-to-day of the relationship.
Three pillars, not three words
We reduce governance to three pillars, each with a concrete and verifiable expression:
- Evidence. Every decision rests on a thesis, models and supporting documents that can be audited, not on a conversation nobody recorded.
- Traceability. Every committee decision has its memo and its history; the reasoning can be reconstructed from the information available at the time.
- Role-based permissions. LPs, sponsors and the capital team each see what belongs to them, no more and no less, from a single shared record.
Continuous reporting changes the relationship
Much of the friction between a vehicle and its investors comes from the silence between milestones. Continuous reporting inverts that logic: the capital account and material events are permanently available, with their supporting evidence, before and after each milestone. Nobody waits for year-end to understand what happened.
Trust is built on access: the capital account and its supporting evidence are available any day, not only at year-end.
The committee as a mechanism, not a ceremony
An investment committee only adds value if it leaves a trail. Each decision is backed by a structured IC memo that makes risks and assumptions explicit. The decision history stays visible to the investment team, so learning accumulates instead of resetting with every transaction.
What to expect as an LP
In practical terms, a qualified investor should be able to: compare opportunities under the same format, review the data room ahead of the committee, understand the reasoning behind each decision, and follow performance without requesting information by email.
